This Non-Disclosure and Non-Circumvention Agreement ("Agreement") is entered into as of the date of electronic execution between PROXVEN LLC and Advanced Peptides, Inc. ("Disclosing Party") and the individual accessing this platform ("Receiving Party").
All information disclosed on or through this platform is strictly confidential, including without limitation: proprietary telehealth platform architecture, database schema and data structures, AI systems and automation logic, business model and revenue projections, patient acquisition strategies, fulfillment integrations, provider network arrangements, pricing structures, exit strategy and investor materials, peptide protocol designs, and all technology, code, designs, and trade secrets of the Disclosing Party.
Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose any Confidential Information to any third party; (c) not use Confidential Information for any purpose other than evaluating a potential business relationship with Disclosing Party; (d) not reverse engineer, replicate, or create derivative works from any disclosed technology or business systems.
Receiving Party agrees not to circumvent, avoid, bypass, or obviate the Disclosing Party in any transaction or relationship with any contact, partner, vendor, or customer introduced through or identified via this platform, including but not limited to: OpenLoop Health, Fab5direct, Advanced Peptides supply chain partners, and any investor or acquirer relationships.
For a period of 24 months from the date of this Agreement, Receiving Party agrees not to directly or indirectly develop, fund, advise, or operate a substantially similar AI-driven peptide telehealth platform targeting the same market segments as PROXVEN.
Receiving Party acknowledges that any breach of this Agreement would cause irreparable harm for which monetary damages would be inadequate. Disclosing Party shall be entitled to seek injunctive relief and all available legal remedies. Receiving Party agrees to pay all attorneys’ fees and costs incurred by Disclosing Party in enforcing this Agreement.
This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved exclusively in the state or federal courts of Hillsborough County, Florida.
Receiving Party agrees that clicking "I Agree & Sign" constitutes a legally binding electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Florida Electronic Signature Act, with the same legal effect as a handwritten signature. IP address, timestamp, browser fingerprint, and device data are recorded as evidence of execution.
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations.
